Job Overview:

A law firm is seeking a mid-level Associate Attorney to join its Real Estate Finance practice. The position is based in Phoenix, Arizona, with a preference for candidates interested in Atlanta. The ideal candidate will have 3 to 6 years of experience representing lenders, buyers, borrowers, and/or sellers in sophisticated commercial real estate financing transactions. The role involves drafting and negotiating financing documents, conducting due diligence, managing transaction closings, and handling a variety of complex real estate finance structures.

Duties:

• Represent lenders, buyers, borrowers, and/or sellers in commercial real estate financing transactions.
• Handle loan originations, refinancings, and restructuring transactions.
• Assist with preferred equity financing transactions.
• Handle warehouse lending structures and commercial real estate repurchase facilities.
• Work on note-on-note transactions, including single-asset financings, portfolio structures, and revolving facilities.
• Handle loan sales, assignments, and related transactions.
• Draft, review, and negotiate loan and financing documents.
• Conduct and manage legal and transactional due diligence.
• Coordinate all aspects of commercial real estate finance transaction closings.
• Identify and address legal and business issues arising during transactions.
• Manage multiple sophisticated transactions and related deadlines.
• Collaborate with attorneys and other professionals across a national real estate finance practice.

Requirements:

• 3 to 6 years of relevant commercial real estate finance experience.
• Experience representing lenders, buyers, borrowers, and/or sellers in commercial real estate financing transactions.
• Experience with loan originations, refinancings, restructurings, preferred equity financings, warehouse lending, repurchase facilities, note-on-note transactions, and/or loan sales and assignments.
• Experience drafting, reviewing, and negotiating financing documents.
• Experience managing due diligence and transaction closings.
• Prior experience in a law firm or comparable professional environment.
• Excellent academic credentials.
• Ability to understand and navigate complex legal and transactional matters efficiently.
• Strong motivation, initiative, and team-oriented approach.
• Active bar admission in the jurisdiction where the candidate intends to practice.

Education and Certifications:

• Juris Doctor (JD) from an accredited law school.
• Active bar admission in the applicable jurisdiction.
