Job Overview

A law firm seeks a remote Senior Business Attorney to join their team, serving high-growth startups and modern businesses. This role involves drafting and negotiating commercial agreements and acting as outside general counsel on day-to-day legal questions.

Duties

• Serve as outside general counsel for a portfolio of clients, handling commercial, corporate, and general business matters.
• Draft, review, and negotiate a wide range of commercial agreements, including customer and vendor contracts, MSAs, SOWs, NDAs, and SaaS agreements.
• Prepare, update, and negotiate online and product-related terms, including privacy policies and data processing addenda.
• Advise on startup and small business structuring, including formations, equity splits, and cap table planning.
• Advise on corporate governance and equity matters, including stock issuances and investor onboarding.
• Handle equity and ownership matters for corporations and LLCs, including new issuances and buybacks.
• Stay adaptable and willing to learn new areas of law as client needs evolve.
• Help refine templates and workflows to improve practice efficiency.

Requirements

• 5+ years of corporate or commercial experience, focusing on commercial agreements and corporate work for private companies.
• Trained at a Big Law firm, elite boutique, or high-quality in-house or outside GC environment.
• Active attorney license in good standing.
• Comfortable drafting and negotiating commercial contracts and advising on contract risk.
• Solid grounding in corporate and equity matters for corporations and LLCs.
• Confident in managing client relationships directly.
• Operate with a business-first mindset: practical, fast-moving, and solution-oriented.

Education

• Juris Doctor (JD) from an accredited law school.

Certifications

• Active attorney license in good standing.
