Job Overview

A law firm seeks a mid-to-senior level associate for its Technology Transactions & Licensing practice in Portland, OR. The ideal candidate will advise innovative startups, growth-stage companies, and global enterprises on complex commercial transactions, product launches, and intellectual property matters within the technology sector.

Duties

• Advise clients on commercial and licensing agreements, with a focus on cloud computing, software, and AI/machine learning.



• Negotiate and draft contracts related to IT procurement, supply chain, and semiconductor technologies.



• Provide product counseling and manage intellectual property workflows in M&A or financing transactions.



• Address regulatory considerations, including data privacy regulations and open source license frameworks.



• Support clients in navigating cross-border transactions and post-closing integration challenges.

Requirements

• Hold a J.D. from an accredited law school and maintain active membership in good standing.



• Demonstrate 4+ years of relevant experience at a law firm or in-house legal department.



• Exhibit deep knowledge of intellectual property and commercial contract law, particularly regarding software and digital assets.



• Display strong drafting, negotiation, and communication skills in a fast-paced environment.



• Maintain an entrepreneurial mindset with a team-oriented approach to client service.

Education

• J.D. from an accredited law school.

Certifications

• Active bar membership in good standing.

Skills

• Technical background (e.g., CS, EE, bioengineering) or experience in cloud, semiconductor, or cybersecurity sectors is preferred.



• Experience with international licensing and cross-border transactions is desired.



• Familiarity with data privacy regulations such as CCPA and GDPR.
