Job Overview

A company seeks a Senior Attorney – Electric Transmission Transactions in Juno Beach, Florida, to provide legal support for the development and management of electric transmission infrastructure projects. The attorney will draft and negotiate complex commercial agreements, manage strategic transactions, and advise cross-functional teams on legal and commercial risks. This role requires strong transactional judgment, energy-sector experience, and the ability to manage multiple high-priority matters independently in a fast-paced environment.

Duties

• Draft, review, and negotiate sophisticated commercial agreements related to electric transmission infrastructure projects.
• Handle joint development agreements, joint venture and limited liability company agreements, development services agreements, transmission capacity leases, purchase and sale agreements, and operations and maintenance agreements.
• Manage commercial transactions from structuring through execution and closing.
• Provide timely written and oral legal advice with minimal supervision.
• Partner with commercial, development, regulatory, tax, and other cross-functional teams to advance strategic initiatives.
• Identify, evaluate, and mitigate legal and commercial risks associated with transmission projects and transactions.
• Support the development and execution of large-scale energy infrastructure projects.
• Advise on strategic partnerships, joint ventures, development arrangements, service agreements, and acquisition or disposition transactions.
• Manage multiple high-priority legal matters while exercising independent judgment and strong business judgment.
• Promote efficient matter management, support budget compliance, and minimize unnecessary reliance on outside counsel.
• Ensure potentially material legal issues are appropriately communicated to senior legal leadership.
• Perform other related legal duties as assigned.

Requirements

• Five or more years of relevant legal experience, with four to eight years of commercial transactional experience related to transmission projects considered ideal.
• Substantial experience drafting and negotiating complex commercial agreements.
• Experience with large energy infrastructure development is highly preferred.
• Experience with sale-leaseback structures is highly preferred.
• Experience with joint venture and strategic partnership agreements, development agreements, services agreements, and purchase and sale agreements is highly preferred.
• Strong commercial acumen and ability to interact effectively with clients, management, counterparties, and cross-functional teams.
• Ability to thrive in a fast-paced, demanding environment while managing multiple concurrent matters.
• Ability to work independently and exercise sound legal and business judgment.

Education

• Juris Doctor degree.
• Bachelor's degree.
• High school diploma or GED.
