A law firm seeks a Corporate Associate/Senior Associate with expertise in investment management and private funds to join their Providence, Rhode Island office. The ideal candidate will have significant experience in corporate transactions and family office matters.

Duties

• Represent investment managers and sponsors in private fund formation and operation.
• Draft and negotiate investment management and fund-related documents.
• Advise on regulatory and compliance matters.
• Prepare and review private placement memoranda and related agreements.
• Represent family offices in structuring and documenting investments.
• Negotiate and document executive employment agreements.
• Manage sophisticated legal matters and supervise junior attorneys.

Requirements

• Minimum of six years of experience in investment management and private fund formation.
• Substantial experience with corporate transactional documents.
• Ability to manage client relationships independently.
• Experience supervising and mentoring junior attorneys.
• Strong written and verbal communication skills.
• Bar admission in good standing in the practicing jurisdiction.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Bar admission in the relevant jurisdiction.
