Job Overview

A law firm seeks a mid to senior-level corporate associate to join its capital markets group in Atlanta, GA. The associate will engage in public company reporting, compliance, corporate governance, and capital markets, working closely with public companies. This role offers the opportunity to be part of a dynamic securities practice within a leading global law firm.

Duties

• Conduct thorough legal research and analysis to support transaction preparation and strategy.
• Draft well-reasoned legal documents, including memos, contracts, and correspondence.
• Assist in managing complex transactions from inception to resolution.
• Build and maintain strong client relationships by providing support and addressing concerns promptly.
• Collaborate with other lawyers and business professionals to develop innovative transaction strategies.
• Ensure compliance with legal standards and regulations.
• Participate in ongoing training and development opportunities.
• Engage in firm programs, civic and professional organizations, and pro bono work.

Requirements

• Minimum 4 years of experience in public company and capital markets.
• Experience with public companies and their ongoing periodic reporting.
• Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Experience with Nasdaq and New York Stock Exchange listing and governance requirements.
• Experience working with issuers, underwriters, and financial intermediaries.
• AmLaw 100 law firm experience preferred.

Education

• JD degree from an accredited law school.

Certifications

• Admitted to practice in the state of Georgia.
