Senior Counsel
The candidate will provide legal guidance and support for the company's contract and transactional work and provide assistance to the President and General Counsel to facilitate business objectives, including drafting and reviewing responses to Requests for Proposals, drafting and negotiating service and sales contracts, protecting intellectual property rights, reviewing and approving marketing, and providing general regulatory and legal guidance. Will be drafting, negotiation, closure, post-contract interpretation, general advice and enforcement of vendor agreements as well as other client transactions. Drafting a wide range of commercial contracts -- licensing and technology agreements, service agreements, leases, academic related agreements, non-disclosure agreements, vendor/procurement agreements, etc and providing legal support of responses to Requests for Proposals and providing legal support for software licensing matters, strategic partnerships and other commercial transactions is needed. Managing the contract process including maintaining proper database of contracts and drafts and interpreting regulations and providing a business sensitive, value added approach to the delivery of high quality work product and adequate legal controls, on a timely basis is required.
