Corporate Paralegal
The candidate will maintain and manage corporate record books for multiple entities. Create and manage organizational documents for subsidiaries. Prepare, file and maintain state filings or foreign qualifications for multiple entities, as well as filings for non-U.S. entities. Assist in the preparation of Board and committee materials, including minutes, resolutions and written consents. Assist with review and drafting of certain agreements and contract templates. Manage contract execution and electronic filing process. Support M&A and financing transactions. Other Duties and Responsibilities. Complete ad-hoc and special projects or legal research as requested/required.
