The candidate will be responsible for: To provide in-house legal counsel services to the Business Unit and specifically (i) to support the management of all relevant North American M&A and other corporate transactional activity, (ii) to manage all North American litigation and dispute resolution, (iii) to support the assessment and management of the legal risk in the Business Unit's contractual arrangements both in new business and existing commercial relationships by consideration of contractual terms in the context of the potential financial exposure and the commercial benefit, (iv) to support and manage transactional and specialist legal work by providing in-house legal services and by outsourcing to external legal advisers where appropriate, managing the relationship with the chosen legal services provider and their costs appropriately, (v) to monitor the Business Unit's intellectual property portfolio and manage the provision of external trade mark and design attorney services and manage their costs appropriately, (vi) to maintain knowledge of legal developments which may impact the Business Unit and brief the Business Unit leadership team where appropriate regarding such developments, and (vii) to provide legal input and support to maintain licenses required for the operation of the businesses. To support the administration of the Baxters Food Group insurance programs in insofar as it relates to the North American Business Unit and to support the management of all insurance claims made on the policies e.g. product recall/product liability etc. To support the development of the assessment and management of Business Unit risk and to maintain the Business Unit Risk Register. Must have a Juris Doctor degree from an accredited law school and admittance to a state bar. Should have 3-5 years of experience gained within a large law firm and/or in-house with a major firm. Experience with diverse contracts like service, goods, and employment contracts. Strong verbal and written communication skills desired.
