Associate General Counsel, Corporate And Commercial
The candidate will lead the negotiations and drafting of a wide range of commercial contracts including software and IP licenses, development agreements, publishing agreements, distribution agreements, advertising and promotional agreements, software service agreements, and other relevant commercial agreements. Manage all corporate transactional work, including financings, M&A, and other strategic corporate transactions. Partner with the business on deal structure and LOI terms; lead deal agreement drafting and negotiation, and manage due diligence as well as deal process and execution. Advice and support on corporate governance-related matters, including general Board and shareholder matters, and coordination of equity issuances. Coordinate with the Legal, Finance, Corporate Development, HR, and Business Development teams and external corporate counsel. Must have JD degree with excellent credentials; admission to CA Bar preferred. Should have 8+ years of combined corporate transactional and M&A experience in a law firm and/or in-house legal department, preferably in gaming, media, or other technology. Must have excellent negotiating and drafting skills on financial/commercial transactions. Should have strong academic credentials. Should have experience working with global teams cross-functionally and across time zones. Must have excellent verbal and written communication skills. People management experience a plus.
