Real Estate Transactional Senior Counsel

Profile

Our client, a nationally recognized Am Law firm, is seeking a Senior Counsel (7+ years) to join its Real Estate / Community Development Financing practice. This is a full-time, permanent opportunity open across the firm's offices in Atlanta, Chicago, Dallas, Denver, and Los Angeles.

About the Role

The Senior Counsel will play a key role in advising clients on complex real estate transactions with a focus on community development financing, including Low-Income Housing Tax Credits (LIHTC), Historic Tax Credits (HTC), New Markets Tax Credits (NMTC), and Opportunity Zone investments. The ideal candidate has deep experience structuring and closing tax credit transactions and is comfortable leading deals and mentoring junior attorneys.

Key Responsibilities

• Represent developers, investors, lenders, and syndicators in LIHTC, HTC, NMTC, and Opportunity Zone transactions


• Draft and negotiate partnership and operating agreements, loan documents, and tax credit equity documents


• Manage closings and coordinate with clients, counterparties, and government agencies


• Provide strategic counsel on deal structuring and regulatory compliance


• Mentor and supervise junior attorneys and deal teams

Qualifications

• 7+ years of experience in real estate transactional law, with a focus on community development finance and tax credit transactions


• Strong working knowledge of LIHTC, HTC, NMTC, and Opportunity Zone programs


• Excellent drafting, negotiation, and client management skills


• Licensed to practice in the state corresponding to the office location

Compensation

The reasonably expected pay scale for this position is $260-320k per year. This is an estimate based on the office location.
