Associate General Counsel / Senior Associate General Counsel, Private Equity
Duties: Review placement memoranda and partnership agreements for investments in Private Equity (including buyout, growth equity, venture capital, distressed/special situations) funds and prepare analysis regarding same for inclusion in investment memoranda or otherwise deliverable to clients. Manage completion of subscription documentation for investments in funds. Negotiate and draft documentation to execute fund investments. Manage input of fund terms into the firm’s proprietary database. Negotiate and draft documentation to execute (i) secondary purchases and sales of fund interests and (ii) co-investments. Manage outside counsel in connection with select investment activity, formation of new funds, separately managed accounts and subscription lines. Supervise paralegals, including in the negotiation of confidentiality agreements, closing-related matters, and other matters, as needed. Special projects from time to time subject to availability (e.g., strategic transactions, process efficiencies, fiduciary counseling and training, regulatory filings, etc.).
