Inside Counsel
The candidate will work across all levels and departments of the organization to contribute to company’s mission. Responsibilities will include both doing and supporting work by outside counsel in the following areas: Counsel and guide the business on Corporate law matters including: Corporate Governance matters, administrative filings, board meeting preparation, drafting board resolutions, supporting investor relations, due diligence efforts, and management of capitalization table utilizing Carta software. Draft, negotiate, and structure inbound and outbound contracts, including: sales agreements, consulting agreements, technology licensing agreements, NDAs, and work on keeping our product T&Cs updated as new features and developments are released. Establish performance plans, hiring contracts, separation agreements, and partner with Human Resources on day-to-day employment matters. This includes improvements to applicable policies, templates, processes, procedures, and our variable compensation packages. Support security matters including reviewing vendor contracts and resolving incidents with our services and customers. Provide guidance in regards to regulatory eligibility and compliance within the United States and Internationally. Review government contracts, potential teaming & partnership agreements with private entities, support patent defenses and expansion, and work closely with various teams on legal components of upcoming product development.
