Director, Natural Resources Legal And Compliance
The candidate will be responsible for: Partner with natural resources team to analyze, structure and diligence global investment opportunities. Monitor and document changes, including through amendments and consents, of underlying legal documentation for each ongoing investment relationship. Work with MD and paralegal to create and maintain compliance policies and procedures, form agreements and legal processes. Review and draft non-disclosure agreements, board and shareholder resolutions, term sheets and miscellaneous contracts. Manage and direct outside counsel in acquisition and disposition processes from origination through closing. Monitor regulatory and legal developments in jurisdictions where investments operate to ensure ongoing compliance. Must have demonstrated success in a similar role in law firm and/or with an in-house compliance or legal department of an asset management firm, hedge fund and/or private equity fund. Should have excellent oral and written communication skills. Must have excellent drafting skills across a wide variety of domestic and international corporate documents. Proficiency in a business setting speaking Spanish or Portuguese is a plus. JD degree is required; admitted to practice in Massachusetts. Should have 5+ years of legal experience in fund investing, domestic and international corporate transactions, general corporate matters for operating companies, and general exposure to the investment management industry. Must have experience advising private investment funds, with an understanding of the current legal, business and regulatory issues impacting such firms.
