The candidate will be responsible for: Encourage everyone to have a voice and invite opinion from all, including quieter members of the team. Focus on counseling, negotiating and redlining technology agreements, including software, hardware and data licenses, services agreements, reseller and alliance/joint business relationship agreements. Involves specialized contracting for technology transactions on behalf of the PwC Network, and an understanding of and experience working with cloud providers and the associated issues. Must have Juris Doctorate. Should have 4 years with experience advising on commercial agreements involving software and other technology, as part of an IP transactional or technology transactions practice at a law firm or in an in-house environment. Preferred Knowledge/Skills: Possessing in depth knowledge of intellectual property law and related contracting issues; Understanding Data privacy laws, including EU data privacy requirements; Contracting with cloud service providers and data/services hosted by third parties; Dealing with international matters and engaging in communication with colleagues in foreign jurisdictions; Collaborating and effective teaming, particularly when gathering input and requirements for global agreements; Reviewing and drafting contracts and management of negotiations with external vendors; Specializing contracts for technology transactions on behalf of the global company Network; Negotiating complex technology agreements for international organizations; Licensing, data security and data privacy contracting matters, including the application of European Union data privacy laws and regulations; Reviewing, drafting and negotiating technology agreements, including software, hardware and data licenses, services agreements, reseller and alliance/joint business relationship agreements; Reviewing and drafting contracts and management of negotiations with external vendors; Instructing and managing outside counsel to obtain optimal outcome and contain costs; Understanding standard technologies; Knowing when support is needed from other experienced professionals in the organization or from outside counsel; Handling highly complex legal issues involving significant risk and requiring the application of seasoned judgment; Identifying and analyzing complex legal/regulatory/business issues and providing appropriate legal advice, often on a time-sensitive basis; Managing people for success by assigning and overseeing work, providing professional development guidance; Working with both cloud providers and the associated issues; Negotiating with respect to legal and technology issues; Managing multiple cases/matters/projects and/or teams of internal and/or external resources; Advising and interacting at the senior leadership level; Managing varied and significant segments of a business or business function; Assessing how to use technology and other processes to most effectively provide support; and, Preparing presentations and communications for leadership stakeholders on technology contracting matters.
